Borland Announces Results of 2004 Annual Meeting of Stockholders
SCOTTS VALLEY, Calif. - May 14, 2004 : Borland Software Corporation (Nasdaq NM: BORL) today announced results from its annual stockholder meeting held on May 14, 2004 in Scotts Valley, California.
Stockholders re-elected Dr. William F. Miller, Ms. Laura S. Unger, and Mr. T. Michael Nevens to the board of directors.
Stockholders also approved by a substantial margin a proposal to declassify the board of directors. The proposal was not opposed by the board, which did not make any voting recommendation to stockholders. The board previously said it would follow the direction of stockholders voting on the proposal and, at next year's annual meeting, the board will recommend and present for stockholder approval an amendment to the Restated Certificate of Incorporation to eliminate the classified board provisions.
Finally, stockholders ratified the selection of PricewaterhouseCoopers LLP to continue to serve as Borland's independent auditors for the year ending December 31, 2004.
